End User License Agreement (EULA)

Welcome to Renews (“Renews,” “we,” “us,” or “our”), accessible at https://renews.live (the “Site”). This End User License Agreement (“EULA”) governs your access to and use of the Renews platform and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this EULA. If you do not agree to these terms, you must not use the Service.

PLEASE READ THIS EULA CAREFULLY BEFORE USING THE SERVICE. BY USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA.

1. Grant of License

1.1 License Grant: Subject to your compliance with this EULA, Renews hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes.

1.2 Scope of Use: The license granted herein permits you to:

  • Access and view Data aggregated and displayed through the Service.
  • Utilize tools provided by Renews, including AI-driven analysis and processing tools, to interact with the Data for permitted use cases as defined in these terms.
  • Create and store user-generated content within the Service, subject to compliance with all applicable laws and this EULA.

2. Restrictions

You agree not to:

2.1 Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Service.

2.2 Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service.

2.3 Commercial Exploitation: Sell, resell, distribute, sublicense, lease, rent, or otherwise exploit the Service or any Data obtained through the Service for commercial purposes without prior written consent from Renews.

2.4 Automated Access: Use automated scripts, bots, or other automated means to access, monitor, or interact with the Service beyond what is permitted by Renews.

2.5 Data Redistribution: Redistribute, publish, or transmit any Data obtained through the Service in a manner that violates the intellectual property rights of the respective Data owners or third parties.

2.6 Malicious Activities: Engage in any activity that disrupts or interferes with the functionality or security of the Service, including the introduction of malware or other harmful components.

3. Ownership

3.1 Renews Ownership: Renews retains all right, title, and interest in and to the Service, including all related intellectual property rights. This EULA does not transfer any ownership rights to you.

3.2 Third-Party Content: All Data sourced from Third-Party Sources remains the intellectual property of the respective owners. Your use of such Data is subject to any applicable third-party license terms and does not confer any ownership rights to you.

4. User Content

4.1 Responsibility for Content: You are solely responsible for any content you create, upload, or transmit through the Service (“User Content”). Renews does not pre-screen User Content, but reserves the right to remove any content that violates this EULA or is otherwise objectionable.

4.2 License to Renews: By submitting User Content, you grant Renews a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with providing and improving the Service.

5. Data Use Cases

Renews provides a versatile platform for accessing and utilizing aggregated Data. The following are permitted use cases under this EULA:

5.1 Personal Viewing: Access and read articles, news, blogs, and other content for personal informational purposes.

5.2 Internal Business Analysis: Utilize Data for internal business functions such as market research, trend analysis, competitor insights, and content strategy development.

5.3 AI and Data Processing: Apply AI, machine learning models, statistical tools, or other automated systems to process, analyze, summarize, or interpret the Data, ensuring compliance with applicable laws and third-party intellectual property rights.

5.4 Transformative Works: Create summaries, compilations, analytics, or other transformative works based on the Data for internal use, provided such uses do not infringe upon the rights of Data owners.

5.5 Compliance with Laws: Ensure all uses of the Data comply with relevant laws, regulations, and the intellectual property rights of Third-Party Sources.

5.6 No Redistribution Without Permission: Do not redistribute, publicly perform, display, or otherwise exploit the Data beyond the scope of these permitted use cases without obtaining appropriate permissions from the respective rights holders.

6. Term and Termination

6.1 Term: This EULA is effective until terminated by either party.

6.2 Termination by You: You may terminate this EULA at any time by discontinuing use of the Service and deleting any copies of materials obtained through the Service.

6.3 Termination by Renews: Renews may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of this EULA.

6.4 Effects of Termination: Upon termination, all licenses granted to you under this EULA will immediately cease, and you must promptly discontinue all use of the Service.

7. Updates and Maintenance

Renews may, from time to time, modify, update, or discontinue the Service or any portion thereof, with or without notice. You agree that Renews shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

8. Third-Party Software

The Service may incorporate or integrate third-party software, tools, or services. Your use of such third-party components is subject to their respective terms and conditions, which Renews does not control. Renews is not responsible for any third-party software or services.

9. Disclaimer of Warranties

9.1 No Warranties: THE SERVICE AND ALL DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

9.2 No Guarantee of Accuracy or Legality: Renews does not warrant that the Data is accurate, complete, or legally usable. You acknowledge and agree that any reliance on the Data is at your own risk.

9.3 No Legal Advice: The Data may contain information of a legal, financial, or medical nature. Such information is not a substitute for professional advice. Renews is not responsible for any decisions made based on the Data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RENEWS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THE DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Renews and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use of the Service or Data.
  • Your violation of this EULA.
  • Your violation of any rights of another party.

12. Governing Law and Dispute Resolution

12.1 Governing Law: This EULA shall be governed by and construed in accordance with the laws of the Supreme Court of Bangladesh, without regard to its conflict of law principles.

12.2 Dispute Resolution: Any disputes arising out of or related to this EULA or the Service shall be resolved exclusively in the state or federal courts located in the Supreme Court of Bangladesh. You hereby consent to the personal jurisdiction and venue of such courts.

13. Severability

If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

This EULA, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and Renews regarding your use of the Service and supersedes all prior or contemporaneous communications, whether electronic, oral, or written.

15. Amendments

Renews reserves the right to modify or amend this EULA at any time by posting the revised terms on the Site. Your continued use of the Service after such changes constitutes your acceptance of the new EULA.
